This Cannabis Marketplace Seller Agreement is entered into between [Dopeboo], a registered company with its principal place of business at 9 E Loockermen Suite 3A, Dover Delaware 19901, United States, and the seller. This Agreement governs the terms and conditions of the Seller's participation on the Cannabis Marketplace operated by the Marketplace in the United States. 
Introduction:
1.1 Purpose: The purpose of this Agreement is to establish the terms and conditions under which Vendor can sell its Hemp derived products on Company's website.
1.2 Applicability: This Agreement applies to all Hemp derived products sold by Vendor on Company's website.
1.3 Term: This agreement shall be valid for a period of 365 days from the effective date of acceptance.
Shipping Policies:
2.1 Shipping Responsibility: The seller shall be responsible for shipping the Hemp derived products to customers promptly after receiving the order.
2.2 Shipping Methods and Costs: Vendor shall determine the shipping methods and associated costs for the Hemp derived products, subject to the agreement of the customer during the checkout process.
2.3 Delivery Timeframes: Vendor shall provide accurate delivery timeframes to customers and ensure timely shipment of orders.
2.4 Shipment Tracking: Vendor shall provide customers and Dopeboo with tracking information for their orders, enabling them to track the status of their shipment.
2.5  The Vendor agrees to replace, at their own cost including shipping, any damaged or nonconforming Products.
Payment Procedures:
3.1 Order Processing and Payments: Company shall process customer payments for Vendor's products and remit the funds to Vendor, minus any applicable fees or commissions, as agreed upon between the Parties.
3.2 Payment Schedule: The Marketplace will make payments to the Seller on the second week of every month for the sales of Products that have passed their return period.
3.3 In the event of discrepancies in the payment data provided by the seller within the Payments section of the marketplace, the seller shall be responsible for any resulting losses.
Return Policies:
4.1 Return Eligibility: Vendors shall establish clear return policies for their products, which comply with applicable laws and regulations.
4.2 Return Process: Vendor shall be responsible for handling customer returns, including providing instructions to customers on how to initiate returns and facilitating the refund or exchange process.
4.3 Refund Responsibility: Vendor shall issue refunds to customers for returned products, subject to the agreed-upon return policies.
Terms of Service:
5.1 Commissions: Vendor agrees to share decided commission with Dopeboo on each sale of the product.
5.2 Compliance with Laws: Vendor shall comply with all applicable laws, regulations, and licensing requirements related to the sale and distribution of Hemp derived products.
5.3 Product Listings: Vendor shall provide accurate and up-to-date information regarding their Hemp derived products, including product descriptions, pricing, availability and legality in states.
5.4 Product Quality: Vendor shall ensure that the Hemp derived products sold on Company's website meet high-quality standards and comply with any applicable testing and safety requirements.
5.5 Prohibited Activities: Vendor shall not engage in any illegal activities or promote the misuse of Hemp derived products.
5.6 Compliance with Local Laws: In states where the sale of CBD is illegal or restricted, the Seller agrees not to list or sell CBD products in violation of local laws.
5.7 - In case any product is not listed we have the right to use that product and list it on Dopeboo
Privacy Policy
6.1 Data Collection: Company and Vendor shall implement appropriate measures to protect customer data collected during the ordering and transaction processes.
6.2 Data Sharing: Company and Vendor shall not share customer data with any third parties, except as required by law or with the customer's consent.
6.3 Data Usage: The Marketplace may collect and use certain information from the Seller for operational and promotional purposes. The Marketplace will handle such information in accordance with its Privacy Policy.
Business Verification
7.1 Licensing and Permits: Vendor shall provide Company with valid proof of any required licenses and permits for selling Hemp derived products.
7.2 Regulatory Compliance: Vendor shall comply with all applicable local, state, and federal laws and regulations governing the sale of Hemp derived products.
7.3 Audit Rights: Company reserves the right to conduct periodic audits or request documentation to verify Vendor's compliance with this Agreement and applicable laws.
7.4 Verification Process: The Seller agrees to undergo a business verification process as required by the Marketplace to ensure compliance with local laws and regulations.
Termination
8.1 Termination Rights: Either party may terminate this Agreement with a notice of 45 days prior to the intended termination date. In the case of violation of this Agreement, the Marketplace reserves the right to terminate the Agreement immediately Without any dues payment.
8.2 Effect of Termination: Upon termination, Vendor shall fulfill any outstanding orders and settle any pending payments or obligations related to the sales made prior to the termination date.
8.3 After both parties have agreed upon termination after prior written notice full n final payment will be done after 30 days.
Miscellaneous
9.1 Entire Agreement: This Agreement constitutes the entire agreement between the Parties regarding the subject matter hereof and supersedes all prior agreements, understandings, or representations, whether written or oral.
9.2 Amendments: Any amendments to this Agreement must be made in writing and signed by both Parties.
9.3 Governing Law: This Agreement shall be governed by and construed in accordance with the laws of [Jurisdiction].
9.4 Severability: If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
9.5 Counterparts: This Agreement may be executed in counterparts, each of which shall be deemed an original and all of which together shall constitute one agreement.
9.6 Compliance with Local Laws: In cities where the sale of CBD is illegal or restricted, the Seller agrees not to list or sell CBD products in violation of local laws.
9.7 You shall not make any negative, denigrating, or defamatory statement(s) / comment(s) about us, the brand name or domain name used by us.
9.8 MODIFICATION: Dopeboo shall be permitted to modify, amend, supplement, delete, or otherwise change this Agreement upon 30 day notice to Vendor. Notice may be provided via mail, electronic mail, or notification on Vendor’s online portal. Vendor’s acceptance of any orders after the lapse of the 30 day notice period shall serve as Vendor’s acceptance of the modified agreement.
9.9 Sale: Sale price for the same product can not be different on the marketplace and their own website.
Confidentiality
10.1 This Agreement and any information marked as confidential or, regardless of form (written/electronic/oral) or marking, is of the nature that a reasonable person would understand its owner would not want it disclosed to the public will be considered to be Confidential Information. Further, Confidential Information will also include (a) any document or data transaction between the parties; (b) matters of a technical nature such as trade secret processes or devices, know-how, data, formulas, inventions (whether or not patentable or copyrighted), specifications and characteristics of products or services planned or being developed, and research subjects, methods and results, (c) matters of a business nature such as information about costs, profits, pricing, policies, markets, sales, suppliers, customers (e.g., names and addresses), product plans, and marketing concepts, plans or strategies, (d) matter s relating to project initiatives and designs, (e) matters of a human resources nature such as employment policies and practices, personnel, including individual names, addresses, and telephone numbers; compensation and employee benefits, (f) other information of a similar nature not generally disclosed to the public. Each party agrees not to disclose Confidential Information except to employees, or a third-party subject to a similar confidentiality agreement, who have a need to know to perform their responsibilities. Each party agrees to take at least the same precautions to protect Confidential  Information as such parties would utilize to ensure the protection, confidentiality and security of its own confidential information. Upon the expiration or earlier termination of this Agreement, this Section shall survive.
